Berlin, 23 April 2020 – home24 SE (“home24”, the “Company”) confirms the 3rd of June as the date for its Annual General Meeting. Due to the continuing restrictions in connection with the COVID-19 pandemic, this year's Annual General Meeting will take place virtually and thus without physical presence of shareholders or their authorised representatives. This resolution was taken by the Company’s Management Board, with the approval of the Supervisory Board.
The health and safety of shareholders and employees has utmost priority for home24. Thus, the Company makes use of the temporary legal opportunity to hold the Annual General Meeting on the originally scheduled date but in the form of a purely virtual meeting to avoid the risk of infection. The decision is influenced by the fact that, as a Societas Europaea (SE), the Company is obliged to hold the Annual General Meeting in the first six months of the year anyway. Therefore home24 cannot make use of the current facilitations granted for German corporations allowing them to hold the Annual General Meeting within 12 months after the end of the fiscal year. The Management Board and Supervisory Board do not expect that the restrictions in connection with COVID-19 will change to
the extent that by the end of June a physical presence could be permitted.
The entire Annual General Meeting will be transmitted by means of an audio-visual broadcast to duly registered shareholders and their authorised representatives. Shareholders will be able to exercise their voting rights by postal vote and through a proxy and to submit questions electronically in advance. Further details on participation and the exercise of voting and question rights will be included in the invitation to the Annual General Meeting. In accordance with the currently adjusted legal deadlines the invitation will be published in the “Bundesanzeiger” by 12 May 2020 at the latest.
